About This Course
This CLE program takes a deeper look at Management Services Organizations (MSOs) and how they can be leveraged for far more than routine administrative support. The presentation will unpack how this vehicle can be engineered to facilitate ownership transitions, aggregate practices, centralize brand value, and adapt operations across industry lines—without overstepping Corporate Practice of Medicine boundaries or violating Fair Market Value requirements.
Participants will examine deal structures, equity strategies, and governance mechanics that allow an MSO to support growth while remaining on the right side of fee-splitting rules and state regulatory regimes. Real-world models and drafting considerations will be discussed, with an emphasis on disciplined documentation and risk-aware decision-making.
By the end of the session, attendees will have a practical framework for building scalable MSO arrangements, preparing for capital events, and positioning organizations for compliant expansion.
