Charles L. Bennett, Esq.
Charles has taught before as an instructor for FINRA and at NYU's Shack school of real estate and is also an author of a book published by Wolters Kluwers titled Capital Markets Handbook.
Corporate and securities lawyer with over 30 years experience in all aspects of public, private and municipal capital formation in both governmental and private sectors. Advisor and consultant to corporate boards and executives providing significant insights to clients on matters of corporate governance, SEC mandated disclosures in offering documents and periodic reports, risk management, internal controls and due diligence obligations in public and private offerings.
General counsel responsible for dispute resolution docket, contract management and human resources, and Vice President and Chief Compliance Officer responsible for the day-to-day oversight of sales practices and supervisory processes for retail and institutional broker dealers, investment bankers and investment advisors, providing assurances to managers and supervisors that investment banking and sales practice activities comply with applicable legal and regulatory mandates.
Bruce S. Foerster
Midwesterner by birth (1941) and upbringing. AB English, Haverford College, 1963; MBA Management Information & Control, University of Pennsylvania Wharton School, 1971. Retired U.S. Navy Captain: seven years active and 20 years reserve duty.
Investment banker. Senior leadership positions in primary equity and fixed income capital markets with five Wall Street investment banks, 1972-94. Active in industry affairs: chaired SIA Syndicate and NASD Corporate Financing committees and SIA New York District.
Founded South Beach Capital Markets Advisory Corporation (SBCMAC), corporate financial advisory firm, 1995. SBCMAC merged with Milwaukee broker-dealer Collopy & Co. to become South Beach Capital Markets, Miami investment bank/broker dealer, 1999-04. Chief financial officer Aurora Capital, fully-integrated sub-prime auto lender 2005-06.
Boards of director service: independent director Pilgrim Group mutual funds; non-industry governor Philadelphia Stock Exchange; director/trustee of many public, private companies and not-for-profit entities; past member National Association of Corporate Directors.
Re-activated SBCMAC 2007. Render corporate financial advice to CEOs, CFOs and boards; facilitate corporate ethics seminars. Financial Industry Regulatory Authority arbitrator. Conduct expert witness practice focused on corporate governance and initial public offering process; member, past president/director Securities Experts Roundtable. Past contributor to many financial print media, television and radio entities; widely quoted on investment banking/capital markets matters.
Faculty member/lecturer in finance, University of Florida, Warrington College of Business, Hough Graduate School of Business, Eugene F. Brigham Finance, Insurance and Real Estate Department since 1996. Textbook author/teacher of Capitalism course in MSF program, mentor students and conduct seven annual seminars on select financial services job disciplines.
