About This Course
Financial institutions and fintech companies face a wide range of legal and regulatory considerations when entering or expanding within the U.S. banking market. This CLE program examines the chartering, licensing, and organizational options available to domestic banks, foreign banking organizations, and technology-driven financial services companies seeking to operate through a U.S. banking entity or partner with an existing institution.
Attendees will gain an understanding of the regulatory framework governing banking activities, including the distinction between traditional banking organizations and other financial services providers. The program reviews the U.S. dual banking system, the responsibilities of federal and state regulators, and the statutory framework established by key federal banking laws, including the National Bank Act, Bank Holding Company Act, International Banking Act, and Gramm-Leach-Bliley Act.
The course also explores the structure and regulation of bank holding companies, the supervision of foreign banking organizations in the United States, limited-purpose and special-purpose banking charters, and the continued growth of Banking-as-a-Service (BaaS) arrangements and other bank-fintech partnerships. By the conclusion of the program, participants will have a practical understanding of the legal, operational, and regulatory issues that influence the formation, expansion, and operation of modern banking organizations.
