This CLE program delivers a structured, practice-focused analysis of the legal and operational framework required to launch and sustain a franchise system. Attorneys will examine entity formation strategies designed to allocate and contain liability, jurisdictional considerations affecting regulatory exposure and taxation, and governance practices that position franchisors for scalable growth.
The course provides a detailed review of the Franchise Disclosure Document (FDD), emphasizing both technical compliance and strategic drafting. Participants will analyze required disclosure categories, including corporate background, management experience, litigation and bankruptcy history, fee structures, initial investment, sourcing restrictions, territory rights, intellectual property protections, operational controls, transfer and termination provisions, dispute resolution mechanisms, and financial performance representations. Particular attention is given to how disclosure decisions impact enforcement leverage and litigation risk.
Beyond document preparation, the program addresses ongoing system management issues—royalty collection, franchisee compliance protocols, documentation standards, default remedies, and litigation preparedness. Attendees will leave with a practical roadmap for advising clients from initial structuring through long-term franchise system administration.
