About This Course
Cryptocurrency has transformed the way we think about investing. This CLE course will offer a comprehensive overview of the regulatory system as it applies to private and foreign investment funds and how it has been dramatically altered by the rise in cryptocurrency.
The course will open with a historical overview of applicable regulation including the Securities Act of 1933, the Securities Exchange Act of 1934, the Investment Company Act, the Investment Advisers Act, the Dodd-Frank Act and the SEC and CFTC rules which apply the framework of legislation to unregistered funds. Regulatory and practical issues which relate to cryptocurrency funds as well as recent enforcement lawsuits by the SEC against Ripple Labs and Tether, the NY BitLicense rules, CFTC commodity pool operator issues and the FINCEN money laundering concerns, all of which private and foreign funds should consider.
The course will offer an understanding how distributed ledgers and cryptocurrency keys function. Materials will include video and audio clips for illustrative purposes.
